These terms govern your use of BillingNudge. By creating an account, you agree to them and confirm you are authorized to act for the business using the service. If you do not agree, do not use the service.
The service
BillingNudge helps business users schedule and send administrative reminders about invoices created elsewhere. It is not an invoicing system, payment processor for invoice recipients, collection agency, law firm, credit-reporting service, or guarantee of payment.
Your account and authority
You must provide accurate information, protect your sign-in methods, and promptly report unauthorized use. You may contact only recipients with whom you have a legitimate business relationship and whom you are permitted to contact about the invoice. You are responsible for invoice accuracy, reminder content, client consent, applicable law, and marking an invoice paid or stopping reminders when appropriate.
Approval and delivery
Nothing sends until you approve a sequence. After approval, BillingNudge attempts delivery according to the displayed schedule, subject to safety caps, outages, recipient systems, bounces, complaints, billing status, and other controls. Delivery times and outcomes are not guaranteed. We may delay or stop messages to protect recipients, users, or the service.
Plans and billing
Free and Solo plan limits are shown on the pricing and usage pages. Solo is billed monthly or annually through Stripe. Subscriptions renew until canceled through the billing portal. Except where law requires otherwise, charges for a started billing period are non-refundable. Failed payments may receive a seven-day grace period, after which active schedules can be paused. There are no usage overage fees.
Acceptable use
You must follow the Acceptable Use Policy. We may suspend or terminate accounts that threaten safety, deliverability, or lawful operation. Suspension stops future sending but does not require us to reverse completed delivery.
Ownership and feedback
You retain ownership of the information and wording you submit and grant us the limited rights needed to operate, secure, and support the service. BillingNudge and its software, design, and documentation remain ours. You may give feedback that we can use without obligation.
Availability and changes
We may improve, limit, or discontinue parts of the service and will give reasonable notice of material adverse changes when practical. Scheduled maintenance, emergency work, providers, and events outside our control may interrupt service.
Disclaimers and liability
To the extent permitted by law, the service is provided “as is” without warranties of merchantability, fitness for a particular purpose, non-infringement, payment, or uninterrupted delivery. BillingNudge is not liable for indirect, special, consequential, exemplary, or lost-profit damages. Our aggregate liability for a claim is limited to the greater of $100 or the fees you paid BillingNudge in the 12 months before the event. Some jurisdictions do not allow every limitation, so these limits apply only as permitted.
Indemnity
You will defend and indemnify BillingNudge against third-party claims arising from invoice or recipient data you provide, your reminder content, your violation of law or these terms, or your use of the service outside its intended business purpose.
Termination and data
You may stop using the service and request deletion at any time. We may suspend or terminate access for breach, risk, nonpayment, or legal necessity. The privacy policy explains export, deletion, retention, and provisions that survive termination.
Governing terms and contact
These terms and the posted policies are the entire agreement for the service. If a provision is unenforceable, the remainder continues. Questions or legal notices can be sent to legal@billingnudge.com.
